AGREEMENT FOR ONE-ON-ONE COACHING SESSION

THIS AGREEMENT is between:
Oh freebird fly, a Limited Liability Company DBA The Kingdom Female Entrepreneur and paying client.
In consideration of the mutual promises, covenants, warranties and other good and valuable consideration set forth in this Agreement, the parties hereby agree as follows:
1 - 30 minute one-on-one video call coaching session and access to recorded session. Once payment is made, client will receive a link from their booked coach to schedule their coaching session. Within 48 hours of the completed coaching session, client will receive a link to their recording.
Terms and Conditions
Rescheduling. If the Client needs to request to reschedule a one on one coaching session, notice will need to be given via email to their booked coach at least 24 hours prior to the scheduled session. Client will have the opportunity to reschedule once. If Client misses the rescheduled session Client forfeits that session and session fee. Failure to show for the rescheduled session shall result in forfeiture of that session and there will be no form of refund for the forfeited session.
Late Arrival. The one-on-one coaching session shall begin promptly at the scheduled start time. There will be a grace period up to 10 minutes past the start time. Should the Client arrive within grace period of 10 minutes the session shall occur but shall receive only the remaining time left in the session. No proration of monies shall occur.
Relationship. Oh Freebird Fly LLC agrees to deliver the Client services as a work-for-hire independent contractor, providing coaching services. Nothing herein shall be deemed to constitute a partnership or joint venture between Oh Freebird Fly LLC, KFE Coach and Client. Further, these coaching services do not create a relationship beyond the confines of the coaching services.
Confidentiality and Non-Disclosure. The Client understands that all materials, including but not limited to, price lists, contracts, financial documents, agreements, pdfs, emails, content, and other information or documents that are given to them through the coaching services are the exclusive property of Oh Freebird Fly, LLC and are privileged and confidential information. The Client shall not disclose, whether or not, the confidential information was obtained from the coaching to anyone unless required to do so by law.
Transfers/Refunds. The coaching session fee is non-refundable. The coaching session fee may not be transferred to another Client.
Schedule. The coaching session date is subject to change and no adjustment/proration of fees shall be applied if the schedule changes due to extenuating circumstances.
Client Preparation. All coaching sessions will be held through an online video conferencing platform. The Client is required to have basic knowledge of email, and how to access these resources online.
Recordings. The KFE Coach of Oh Freebird Fly LLC shall provide a recording in video format through a digital sharing program to the Client within 3 days from the coaching session. Client is responsible for downloading and saving their one on one coaching sessions. Oh Freebird Fly LLC and KFE Coach will not be responsible for the recordings past 48 hours after the coaching session.
Cooperative Attitude. The Client shall retain a cooperative attitude throughout the coaching session. At any time the Client acts uncooperative, Oh Freebird Fly LLC & KFE coach shall end the coaching session and retain all coaching session fees.
Waivers. A waiver by either party of any provision of this Agreement in any instance shall not be deemed a continuing waiver for the future.
Indemnification. The Client takes full responsibility for the decisions they make after going through their coaching session as well as the consequences. The Client enters into the coaching session with full understanding that they are responsible for their own results. The Client agrees that using any of Oh Freebird Fly’s coaching services with a KFE Coach are entirely at their risk. Oh Freebird Fly LLC and KFE Coaches shall be held harmless for any and all injury to Client and Client’s business and equipment during the course of the coaching Session and the immediately surrounding events.
Governing Law and Choice of Venue. This Agreement shall be governed by the laws of the State of Florida without regard to its conflicts of law provisions. The parties may bring an action concerning this Agreement only in the state and federal courts for Florida.
Attorney Fees. If either party to this Contract brings a legal action against the other party to this Contract to secure the specific performance of this Contract, collect damages for breach of this Contract, or otherwise enforce or interpret this Contract, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.
Resolution. Client shall first approach Oh Freebird Fly LLC as to any issues related to the coaching services. Failure to do so will result in Oh freebird fly not extending any further consulting services to client.
Entire Agreement. This Agreement contains the entire agreement between the parties on its subject matter and supersedes any prior understanding or representation of any kind preceding the date herein.
Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
