AGREEMENT FOR ONE-ON-ONE STRATEGY SESSION THROUGH CONSULTING SERVICES

THIS AGREEMENT is between:
Oh freebird fly, a Limited Liability Company also known as The Kingdom Female Entrepreneur and paying client.
In consideration of the mutual promises, covenants, warranties and other good and valuable consideration set forth in this Agreement, the parties hereby agree as follows:
1 - 45 minute one-on-one video call strategy session, Next steps PDF and access to recorded session. Once payment is made, client will receive a link to schedule their strategy session and a link to fill a short session questionnaire. The questionnaire will need to be filled out within 24 hours of the scheduled session. Within 48 hours of the completed strategy session, client will receive a link to their recording and next steps PDF.
Terms and Conditions
Rescheduling. If the Client needs to request to reschedule a one on one strategy session, notice will need to be given via email at least 24 hours prior to the scheduled session. Client will have the opportunity to reschedule once. If Client misses the rescheduled session Client forfeits that session and session fee. Failure to show for the rescheduled session shall result in forfeiture of that session and there will be no form of refund for the forfeited session.
Late Arrival. The one-on-one strategy session shall begin promptly at the agreed upon start time. There will be a grace period up to 10 minutes past the start time. Should the Client arrive within grace period of 10 minutes the session shall occur but shall receive only the remaining time left in the session. No proration of monies shall occur.
Relationship. Oh Freebird Fly LLC agrees to deliver the Client services as a work-for-hire independent contractor, providing Consulting services. Nothing herein shall be deemed to constitute a partnership or joint venture between Oh Freebird Fly LLC and Client. Further, these Consulting services do not create a relationship beyond the confines of the Consulting services.
Confidentiality and Non-Disclosure. The Client understands that all materials, including but not limited to, price lists, contracts, financial documents, agreements, pdfs, emails, content, and other information or documents that are given to them through the consulting services are the exclusive property of Oh Freebird Fly, LLC and are privileged and confidential information. The Client shall not disclose, whether or not, the confidential information was obtained from the Consulting to anyone unless required to do so by law.
Transfers/Refunds. The Strategy session fee is non-refundable. The Strategy session fee may not be transferred to another Client.
Schedule. The Strategy session date is subject to change and no adjustment/proration of fees shall be applied if the schedule changes due to extenuating circumstances.
Client Preparation. All strategy sessions will be held through an online video conferencing platform and questionnaires will be delivered via email. The Client is required to have basic knowledge of email, and how to access these resources online. Client must fill out questionnaire via google forms link at least 24 hours prior to the Strategy session. Failure to adequately complete and/or submit questionnaire will result in the Consultant not having a full understanding of the Client’s needs which will lead to the Client not experiencing the full intended experience.
Recordings. Oh Freebird Fly LLC shall provide a recording in video format through a digital sharing program to the Client within 3 days from the strategy session. Client is responsible for downloading and saving their one on one strategy sessions. Oh Freebird Fly LLC will not be responsible for the recordings past 30 days after the consulting session.
Cooperative Attitude. The Client shall retain a cooperative attitude throughout the strategy session. At any time the Client acts uncooperative, Oh Freebird Fly LLC shall end the strategy session and retain all strategy session fees.
Waivers. A waiver by either party of any provision of this Agreement in any instance shall not be deemed a continuing waiver for the future.
Indemnification. The Client takes full responsibility for the decisions they make after going through their strategy session as well as the consequences. The Client enters into the strategy session with full understanding that they are responsible for their own results. The Client agrees that using any of Oh Freebird Fly’s Consulting services are entirely at their risk. Oh Freebird Fly LLC and consultants shall be held harmless for any and all injury to Client and Client’s business and equipment during the course of the strategy Session and the immediately surrounding events.
Governing Law and Choice of Venue. This Agreement shall be governed by the laws of the State of Florida without regard to its conflicts of law provisions. The parties may bring an action concerning this Agreement only in the state and federal courts for Florida.
Attorney Fees. If either party to this Contract brings a legal action against the other party to this Contract to secure the specific performance of this Contract, collect damages for breach of this Contract, or otherwise enforce or interpret this Contract, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.
Resolution. Client shall first approach Oh Freebird Fly LLC as to any issues related to the Consulting services. Failure to do so will result in Oh freebird fly not extending any further consulting services to client.
Entire Agreement. This Agreement contains the entire agreement between the parties on its subject matter and supersedes any prior understanding or representation of any kind preceding the date herein.
Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
