Terms & Conditions Agreement for Unlocking Your Business Dreams course + 1:1 Coaching

Terms & Conditions

Relationship. Oh Freebird Fly LLC (DBA The Kingdom Female Entrepreneur) agrees to deliver the Client services as a work-for-hire independent contractor, providing Coaching services.  Nothing herein shall be deemed to constitute a partnership or joint venture between Oh Freebird Fly LLC and Client. Further, these Coaching services do not create a relationship beyond the confines of the Coaching services.

Confidentiality and Non-Disclosure.  The Coaching Course Client understands that all materials, including but not limited to, price lists, contracts, financial documents, agreements, pdfs, emails, content, and other information or documents that are given to them in the course of the coaching course are the exclusive property of Oh Freebird Fly, LLC and are privileged and confidential information.  The Client shall not disclose, whether or not, the confidential information was obtained from the coaching course to anyone unless required to do so by law.

Payments. Client agrees to make 3 payments of $400. The first payment of $400 is due upon signing up for the course + coaching program. The second payment is due before scheduling the first 1:1 coaching call. The third and final payment is due before scheduling the second 1:1 coaching call.

Transfers/Refunds.  The Coaching course & 1:1 coaching session fees are non-refundable. The Coaching course & session fees MAY NOT be transferred to another Client.

Rescheduling. If the Client needs to request to reschedule a 1:1 coaching session, notice will need to be given via email at least 24 hours prior to the scheduled session. Client will have the opportunity to reschedule once. If Client misses the rescheduled session Client forfeits that session and session fee. Failure to show for the rescheduled session shall result in forfeiture of that session and there will be no form of refund for the forfeited session.

Late Arrival.  The 1:1 coaching sessions shall begin promptly at the agreed upon start time.  There will be a grace period up to 10 minutes past the start time. Should the Client arrive within grace period of 10 minutes the session shall occur but shall receive only the remaining time left in the session. No proration of monies shall occur. 

Client Preparation.  All course material will be made available through an online course platform. 1:1 coaching calls will be held on the course platform. The Client must be able to access these resources online. The Client is required to have basic knowledge of email, and how to access these resources online. 

Recordings.   The Client shall not share any recorded coaching calls or course sessions with anyone else. All coaching call recordings will be available on the online course platform within 48 hours of the completed coaching call.

Video Release. You give Oh freebird fly LLC all rights to, own, use, edit, exhibit and distribute any video taken of you through the course coaching sessions and testimony videos for any lawful purpose.

Cooperative Attitude.  The Client shall retain a cooperative attitude throughout the coaching calls.  At any time the Client acts uncooperative Oh Freebird Fly LLC shall terminate the client’s access from participating in the 1:1 coaching calls and retain all coaching course fees.  Cooperation includes, but is not limited to, online and in-person decorum whether directed at Oh Freebird Fly LLC, Oh Freebird Fly Coaches and Mentors, other participants, or a third party in reference to the coaching course.

Intellectual Property.  All information provided in the course of the Coaching course is copyright of Oh Freebird Fly LLC, including but not limited to all recorded sessions, course framework, graphics, workbooks, templates, PDF’s, Business blueprints, and any other content shared is intellectual property and copyright of Oh freebird fly LLC and shall not be shared, recorded, duplicated or sold and is only for your personal use.

Waivers. A waiver by either party of any provision of this Agreement in any instance shall not be deemed a continuing waiver for the future.

Indemnification. The Client takes full responsibility for the decisions they make after participating in the coaching course and 1:1 coaching calls as well as the consequences. The Client enters into the Coaching program with full understanding that they are responsible for their own results. The Client agrees that using any of Oh Freebird Fly’s coaching course are entirely at their risk. Oh Freebird Fly LLC, Coaches and Mentors shall be held harmless for any and all injury to Client and Client’s business and equipment during the course of the Coaching course and the immediately surrounding events.

Governing Law and Choice of Venue.  This Agreement shall be governed by the laws of the State of Florida without regard to its conflicts of law provisions.  The parties may bring an action concerning this Agreement only in the state and federal courts for Florida.

Attorney Fees. If either party to this Agreement brings a legal action against the other party to this Agreement to secure the specific performance of this Agreement, collect damages for breach of this Agreement, or otherwise enforce or interpret this Agreement, the prevailing party shall recover reasonable attorney’s fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action in addition to any other relief that may be awarded.

Resolution.  Client shall first approach Oh Freebird Fly LLC as to any issues related to the Coaching course and 1:1 coaching sessions.  Failure to do so will result in termination of the Coaching course & 1:1 coaching session access and forfeiture of all Coaching course fees.  

Entire Agreement.  This Agreement contains the entire agreement between the parties on its subject matter and supersedes any prior understanding or representation of any kind preceding the date herein.

Agreement.  There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement.
